Terms of Service

1. Acceptance of Terms

By accessing our website and engaging Shivra Ecom for our services (including but not limited to marketplace management, legal entity setup, branding, and web development), you ("the Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Provision of Services

Shivra Ecom provides eCommerce growth, marketing, and web development services as outlined on our website and tailored in your specific proposal/contract.

We reserve the right to sub-contract specific technical and development tasks to our verified partner firm, Cyber Drift Solutions Private Limited.

We will carry out our services with reasonable skill and care, in line with professional standards for UK/EU eCommerce and digital service providers.

3. Client Obligations

To enable us to provide effective services, the Client agrees to:

  • Provide timely access to necessary eCommerce platforms (e.g., Amazon Seller Central, Shopify), hosting accounts, and business assets.
  • Ensure all information, data, and products provided comply with local laws, intellectual property rights, and platform terms of service.
  • Be solely responsible for the quality, safety, and legal compliance of the physical or digital products they sell.

4. Fees and Payment

  • Invoicing: Services are billed according to the agreed-upon pricing tier or bespoke proposal. Retainer fees are strictly billed in advance on a monthly basis.
  • Late Payments: Shivra Ecom reserves the right to suspend services and withhold deliverables if payments are overdue by more than 14 days. Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Intellectual Property Rights

  • Client IP: The Client retains all intellectual property rights to their pre-existing brand assets, logos, and products.
  • Agency IP: Upon full and final payment, Shivra Ecom grants the Client full ownership of the final deliverables (e.g., optimized listings, web builds, ad creatives). Shivra Ecom retains the right to use non-confidential project outcomes for portfolio and marketing purposes unless explicitly agreed otherwise.

6. Confidentiality

Both parties agree to keep all commercial, financial, and technical information obtained from the other party strictly confidential. This includes pricing strategies, supplier lists, login credentials, and proprietary software logic. This obligation survives the termination of these Terms.

7. Limitation of Liability

Shivra Ecom acts as an advisory and execution partner. We do not guarantee specific financial results, exact sales volumes, or immunity from third-party platform actions (e.g., Amazon account suspensions, algorithm changes).

To the maximum extent permitted by law, Shivra Ecom shall not be liable for any indirect, consequential, or special losses, including loss of profits, revenue, or data.

Our total liability to you in respect of all other losses arising under or in connection with the contract shall in no circumstances exceed the total fees paid by you to us in the 6 months preceding the claim.

8. Termination

Either party may terminate the monthly rolling contract by providing 30 days written notice. In the event of a material breach of these terms by either party, the contract may be terminated immediately. Upon termination, all outstanding invoices become immediately due and payable.

9. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
